As its Principal External Counsel, Armbrecht Jackson LLP represented RLS (USA), Inc., one of the largest chains of nuclear pharmacies in the U.S., in negotiating and closing RLS’s acquisition by Telix Pharmaceuticals Limited. Telix is a biopharmaceutical company that is listed on the Australian Securities Exchange.

The acquisition closed on January 27, 2025, with Telix acquiring 100% ownership of RLS. The purchase price included upfront cash of approximately US$230 million, prior to adjustments for deferred cash consideration, working capital, transaction expenses, debt and debt equivalents, plus contingent cash of up to US$20 million, which is conditional upon post-closing milestones based on RLS’ financial and operational performance in the next four quarters.

Matthew Smith, an associate at Armbrecht Jackson LLP, serves on the board for United Cerebral Palsy of Mobile and is always pleased to share with others the incredible work this organization does in our community. Matt recently arranged for some of us to visit UCP’s preschool and Adult Day Program, and it was amazing to see firsthand the impact that UCP has on our community.

While touring the facility, we had the opportunity to involve the preschool classes in a fun fingerpainting activity and Matt read a Thanksgiving story! We appreciated the opportunity to interact with some of the children being impacted by the work of UCP, and to learn more about what United Cerebral Palsy of Mobile is doing to enrich the lives of disabled children in our communities.
