The Net Investment Income Tax and the LLC Sting.

Germany is generally attributed to be the first to enact laws allowing for the establishment of a limit liability entity in 1892. The concept of creating an entity capable of aggregating capital while limiting the individual liability of the Members was a breakthrough idea at the time and the provisions were a cause of great worldwide debate (albeit at rather stuffy conventions or perhaps at family dinners of the very strange). The modern US LLC was first created by the state of Wyoming in 1977 and its purpose was to provide an alternate and highly flexible method of doing business which limited member liability and allowed members to control ownership. Since that time the LLC has become the runaway smash hit of how to organize a business in the USA. As of 2011 72.4% of business in the USA were LLCs.

So why did so many business people give up the tried and true C-Corp in favor of the untried LLC? Was Wyoming's law an altruistic act driven by a longing for a purer legal entity? Why does it matter anyway?
