On February 25, 2022, the SEC proposed new rules to expand short sale reporting in an effort to provide "more visibility into the behavior of large short-sellers". If passed, the reporting requirement would apply to institutional investment managers with short positions of at least $10 million or the equivalent of 2.5% or more of the total shares outstanding.

In observance of President's Day, the SEC and EDGAR system are closed on February 21, 2022. The EDGAR system will not accept filings.

Filings submitted after 5:30 pm ET, February 18, 2022, will receive a filing date of February 22, 2022, and will be disseminated to the public on February 22, 2022.

The following form types will receive a February 18, 2022 filing date if filed by 10:00 pm ET on February 18, 2022:

• Section 16 filings (3, 3/A, 4, 4/A, 5, 5/A)
• Filings pursuant to Rule 462B - "MEF" filings

If a filing due date falls on a weekend or SEC holiday, the filing is due on the following business day.
