Stock and Non-Stock Corporations with Total Assets or Total Liabilities at or below P3,000,000 are now no longer required to submit Audited Financial Statements, as amended via Memorandum Circular No. 4, Series of 2026 of the Securities and Exchange Commission (SEC), applicable to financial statements for the year ending December 31, 2025 and onwards.

Instead, they must submit unaudited Financial Statements accompanied by a Statement of Management Responsibility (SMR) signed under oath by the authorized signatories.

However, for corporations determined to be vested with public interest, as enumerated under Part 1, Section 3(B) of the Revised Securities Regulation Code (SRC) Rule 68, they still need to provide Audited Financial Statements regardless of their Assets or Liabilities figures.

Registration of Loose-Leaf Books of Accounts and Computerized Books of Accounts for the year 2025 are extended by virtue of BIR RMC 4-2026.

For Mandaue City businesses, the application for renewal of permits is extended up to Jan 25, 2026 and the payment of taxes and fees until Jan 31, 2026.
