๐ข NEW FOREIGN INVESTMENT NEGATIVE LIST (13th FINL)
The Philippines has issued Executive Order No. 113, updating the rules on foreign ownership of businesses.
๐ What you need to know:
โ๏ธSome industries remain 100% Filipino only (e.g., mass media, small-scale mining)
โ๏ธOthers allow limited foreign ownership (25%, 30%, or 40%)
โ๏ธSelect sectors now allow up to 100% foreign ownership (e.g., telecoms, subject to conditions)
โ ๏ธ Why this matters:
Before setting up a business or accepting foreign investors, you must check if your industry is:
โ๏ธ Allowed
โ๏ธ Restricted
โ๏ธ Or fully prohibited

The Bureau of Internal Revenue has officially extended the deadline for filing Income Tax Returns (ITR).

This extension gives individuals and businesses more time to ensure accurate filing and full compliance with tax requirements.

The Bureau of Internal Revenue (BIR) has issued Revenue Memorandum Circular No. 30-2026, extending the deadline to May 15, 2026 for the filing of 2025 Annual Income Tax Returns, payment of the corresponding taxes due thereon, and submission of required attachments.
โIn line with the directive of President Ferdinand R. Marcos Jr., this extension is meant to make tax compliance easier for taxpayers at a time when many are managing added strain from the ongoing energy crisis,โ Commissioner Charlito Martin R. Mendoza said.
Taxpayers may file through the BIRโs electronic filing platforms and pay electronically through available payment platforms, or manually through the nearest Authorized Agent Banks.

โ๏ธNo more audited financial statements for corporations with โฑ3,000,000 or below in total assets or liabilities
โ๏ธSubmit Financial Statements + Statement of Managementโs Responsibility (SMR) instead
โ๏ธApplies to Stock, Non-Stock, and One Person Corporations (OPCs)
โ๏ธEffective for FY ending on or after December 31, 2025
โ ๏ธ Note: Officers remain personally accountable for false or misleading financial statements, and the SEC may still require audits when necessary.
