Saraf and Partners advised ๐š ๐œ๐จ๐ง๐ฌ๐จ๐ซ๐ญ๐ข๐ฎ๐ฆ ๐จ๐Ÿ ๐ฌ๐ข๐ฑ ๐ฅ๐ž๐ง๐๐ž๐ซ๐ฌ, ๐ฅ๐ž๐ ๐›๐ฒ ๐ˆ๐‚๐ˆ๐‚๐ˆ ๐๐š๐ง๐ค ๐‹๐ข๐ฆ๐ข๐ญ๐ž๐ in connection with term loan facilities aggregating to INR 44.149 billion (Facility) extended to ๐’๐„๐ˆ๐‹ ๐„๐ง๐ž๐ซ๐ ๐ฒ ๐ˆ๐ง๐๐ข๐š ๐‹๐ข๐ฆ๐ข๐ญ๐ž๐ (Borrower), a leading independent power producer (IPP) operating a 2,640 MW supercritical coal-based thermal power plant in Krishnapatnam, Andhra Pradesh (Project).

The Facility was utilized for refinancing the existing term debt exposure availed by the Borrower for funding the project cost and enabled the Borrower to transition from a corporate guarantee backed term debt exposure to an asset-backed borrowing framework.

The Firm also engineered a seamless transition where India Infrastructure Finance Company Limited (IIFCL) took over a portion of the term debt exposure from the incoming lenders, which necessitated devising and documenting a sophisticated legal framework allowing IIFCL to accede into the consortium, in a time sensitive manner.

The Firm comprehensively handled the legal due diligence, structuring, closing of all financing documentation and advised the lenders on complex takeout finance and intercreditor arrangements.

The transaction team was led by our Partner, ๐‘๐จ๐ก๐ข๐ญ ๐‘๐š๐ ๐ก๐š๐ฏ๐š๐ง, and included Senior Associate, ๐€๐š๐ฒ๐ฎ๐ฌ๐ก ๐’๐ฎ๐ง๐ž๐ฃ๐š, and Associate, ๐Š๐ก๐ฎ๐ฌ๐ก๐ข ๐€๐ ๐ซ๐š๐ฐ๐š๐ฅ.
