Hello everyone!

Today, we will be talking about another tax concept that confuses many people.

What is the difference between Direct Tax and Indirect Tax?

Let’s simplify it.

Let me ask you a question.

When you buy a bottle of water, recharge your phone, eat at a restaurant, or shop in a supermarket…

Have you ever wondered whether you’re paying tax?

The answer is…

Yes!

But here’s something many people don’t know.

Sometimes you pay the tax yourself, and other times someone collects the tax from you and pays it to the government.

That’s the difference between Direct Tax and Indirect Tax.

One of the easiest ways to understand these two taxes is to ask one simple question.

“Who bears the burden of paying the tax?”

If you pay the tax directly from your own income or profit, it is called a Direct Tax.

If the tax is added to the price of goods or services and passed on to someone else, it is called an Indirect Tax.

Let’s look at them one after the other.

What is Direct Tax?

A Direct Tax is a tax imposed directly on a person or business.

The person who is legally responsible for the tax is also the person who bears the burden of paying it.

In other words…

You cannot transfer it to someone else.

Examples include:

* Personal Income Tax
* Company Income Tax
* Capital Gains Tax
* Development Levy (where applicable under the law)

Let’s use an example.

Imagine your company makes a profit of ₦50 million.

The tax payable on that profit is your company’s responsibility.

You cannot add that tax to your customer’s invoice and ask them to pay it for you.

That’s why it’s called a Direct Tax.

What is Indirect Tax?

An Indirect Tax is different.

Here, the person collecting the tax is not necessarily the person paying the tax.

Instead, the tax is passed on to the final consumer.

The business simply collects it on behalf of the government and remits it.

Examples include:

* Value Added Tax (VAT)
* Excise Duties
* Customs Duties (on imported goods)

For example…

You walk into a supermarket to buy a television.

The price tag says ₦215,000.

At the checkout, VAT is added where applicable.

Who actually pays that VAT?

You, the customer.

The supermarket only collects it and later remits it to the tax authority.

The supermarket isn’t paying the VAT from its own pocket.

It’s acting as a collection agent for the government.

That’s why VAT is called an Indirect Tax.

The Simple Difference

Here’s the easiest way to remember it.

Direct Tax

👉 You earn the income.

👉 You pay the tax.

👉 The burden stays with you.

Indirect Tax

👉 You buy goods or services.

👉 The seller collects the tax.

👉 The seller remits it to the government.

👉 The burden is passed to the final consumer.

A client once walked into our office very upset.

He said,

“Madam Heeritos, I’ve already paid Company Income Tax. Why should I still pay VAT? Isn’t that double taxation?”

I smiled and explained something very important.

I said,

“Company Income Tax and VAT are two completely different taxes.”

Company Income Tax is a Direct Tax.

It is paid from the company’s taxable profits.

VAT, on the other hand, is an Indirect Tax.

The company isn’t paying VAT from its own money.

The company is simply collecting VAT from customers and remitting it to the government.

Immediately he understood the difference.

Many business owners confuse these two taxes because they don’t understand who actually bears the tax burden.

Let me gist you small...

One thing I like about CAC these days is that they are no longer just registering companies.

They are gradually enforcing compliance.

Many of us are always interested in getting our RC Number.

Once CAC approves the registration, we celebrate, frame the certificate and move on.

But the truth is...

Registering a company is just the beginning.

Running that company in line with CAMA is another thing entirely.

Now CAC has come out again to remind all Limited Liability Companies of one small thing many people overlook.

Your company letterhead.

You know those official letters you write to banks, clients, government agencies, suppliers or business partners?

CAC says those letters should not just carry your company logo and address alone.

There are certain details that must also appear.

For example...

Your company name should be there.

Your RC Number should be there.

The names of your directors should also appear on the letterhead. It can be their initials and surname or their full names.

And if any of your directors is not a Nigerian, the person's nationality should also be stated.

Now before somebody starts panicking...

This is NOT talking about your shop banner.

This is NOT talking about your signboard.

This is talking about your official business letters.

So if you're sending a proposal, writing to a bank, responding to a government agency or issuing an official company correspondence, your letterhead should comply with Section 304 of CAMA.

According to this public notice, CAC says from 1st August 2026, they will begin enforcing this requirement, and there may be sanctions for companies that don't comply.

I know many people have never paid attention to this aspect before.

That's why I said let me gist you.

Sometimes, these little compliance issues are what later become big problems during due diligence, contract negotiations or regulatory inspections.

So if you own a Limited Liability Company, this is a good time to call whoever designed your letterhead.

Review it.

Update it if necessary.

Business is not just about making money.

It's also about staying compliant.

And trust me...

Compliance is always cheaper than penalty.

Before someone asks, this particular CAC notice does not apply to Business Name registrations. It is specifically for companies (Ltd, Plc, Ltd/Gte, etc.) registered under CAMA. So if you operate a Business Name, this requirement is not directed at you.
